Bylaws of the Boise Camera Club, Inc.ARTICLE I - NAMEThe name of this organization shall be: Boise Camera Club, Incorporated, a non-profit corporation. ARTICLE II - PURPOSE The object of the Club shall be the mutual advancement of its members in the art of photography. ARTICLE III - MEMBERSHIP Membership in the Boise Camera Club, Inc. is offered to anyone interested in photography, who is willing to share the results of his/her experiences and knowledge with other members of the club. The membership classes of Boise Camera Club, Inc. shall be: Regular Member, Associate Member (Members who do not compete in club competition.) And Junior Member (A member, who has not reached the are of 16 years by January 1st of the current dues year.). ARTICLE IV - DUES The dues for each membership class in the Boise Camera Club, Inc. shall be set by the Board of Directors at the beginning of each calendar year. ARTICLE V - MEETINGS Regular business meetings of the Boise Camera Club Inc. shall be held on the first Tuesday of each month at such a time and place as may be designated by the Board of Directors. Other regularly scheduled meetings may be designated by the Board of Directors. The Board of Directors shall meet once a month to plan and schedule club business and activities. All board meetings are open. Excursions (field trips, tours, classes, etc.) May be planned and scheduled by the Board of Directors. The Board of Directors shall schedule two annual functions. An Awards Banquet, to recognize members for their photographic achievement, shall be scheduled in February. A Founders Day Celebration, to recognize the founding of our club, shall be scheduled in the fall. Special meetings may be called by the Club President. ARTICLE VI - OFFICERS AND BOARD MEMBERS The elected officers governing the Boise Camera Club, Inc. shall consist of: The President, Vice President, Secretary, and Treasurer. The Board of Directors shall consist of the elected officers and three representatives elected from the membership at large. The past president shall be a voting member of the Board of Directors for one transition year. The term of office for all board members shall be one year. Vacancies occurring on the Board of Directors during the term for which they have been elected shall be filled by the board until the next regular election. ARTICLE VII - NOMINATION AND ELECTION OF OFFICERS On or before the regular business meeting of the Boise Camera Club, Inc. in October, the president shall appoint a nominating committee of three members. The nominating committee shall, at the General Meeting in November, announce the slate of officers to be placed into nomination for December’s election. Nominations will remain open until the vote. Members can only be elected to an office by being present or by having a letter of intent on record. ARTICLE VIII - DUTIES OF OFFICERS AND DIRECTORS It shall be the duty of the President to preside at business meetings of the Club and the Board of Directors, and abide by and enforce the By-Laws of the Club, and appoint Committee Chairpersons as required. It shall be the duty of the Vice President, in the absence of the President, to perform all duties incumbent upon the President. The Vice President shall arrange for the programs at the regular business meetings. The Secretary shall keep the minutes of the club’s regular business meetings and those of the Board of Directors and receive and issue correspondence as necessary. The Treasurer shall collect all dues and other funds and deposit the same in banks to be designated by the Board of Directors, and maintain a record of current members. The Treasurer shall make such disbursements as approved by the Board of Directors; keep a correct account of receipts and disbursements; render a full report annually or more frequently if required by the Club or Board of Directors, and turn over all the property of the Club in his possession to his successor when duly installed. The Board of Directors shall administer the affairs of the Club, its finances, and approve all bills. Four members of the Board of Directors shall constitute a quorum for the transaction of business. In addition to the officers’ duties described above, each officer will perform other duties as may be directed by the president. ARTICLE IX - AUDITING COMMITTEE The President shall appoint an Auditing Committee in December. The duties of the Auditing Committee shall be to audit, and provide a written report of the accounts of the retiring Treasurer before turning over the books and accounts to the newly elected Treasurer. ARTICLE X - DISMISSALS The Board of Directors shall have the power, after a full hearing, to cancel the membership of any person who fails abide by the By-Laws of the Club. ARTICLE XI - AMENDMENTS Amendments or additions to the By-Laws may be made at the regular meeting of the Club by a two- thirds vote of the members present or by a similar vote at a special meeting called for such purposes. All members shall be notified in writing of any proposed changes to these By-Laws thirty days prior to such meeting.
